NON DISCLOSURE AND CONFIDENTIALITY AGREEMENT

Our agreement with our sellers (“the Sellers”) requires us to obtain a Non-Disclosure and Confidentiality Agreement before we disclose the name and location of the business. In return, we will keep confidential any information which you disclose to us. In consideration for information on any business offered for sale by City Business Brokers I (The individual named below) understand and agree as follows:

1. I acknowledge that Information provided by City Business Brokers in respect of businesses for sale is sensitive and confidential and its disclosure to others might be damaging to the businesses and to the Broker’s relationship with the Seller.

2. I will not disclose any Information regarding these businesses to any other person without your written consent. This does not apply to any information that is, or becomes, generally available to the public.

3. I will not attempt to contact the Sellers, their employees or customers directly but only through City Business Brokers.

4. I acknowledge that all Information that I receive in connection with the businesses is provided by the Seller and is not verified by City Business Brokers in any way. I will carry out my own searches and enquiries in due course.

5. I agree that any offers and negotiations will be made exclusively through City Business Broker. I acknowledge that any direct negotiation or agreement with the Seller is a breach of the contract between City Business Broker and the Seller and I agree to compensate City Business Brokers for their losses should I be in breach of this clause.
